If you do not agree, you must not access or use the Platform.

1. About CapitalxAI

CapitalxAI is an AI-powered fundraising and investor intelligence platform that provides users with:

  • Investor databases and profiles
  • Fundraising insights and analytics
  • Investment theses, signals, and trend analysis
  • Publicly sourced and licensed investor contact details
  • Outreach enablement tools

CapitalxAI does not act as a broker, dealer, investment advisor, or placement agent.

To access certain features, you must create an account.

You agree to:

  • Keep your login credentials confidential
  • Notify us immediately of unauthorized access

You are fully responsible for all activity conducted under your account.

5. Nature of Data & No Guarantee Clause

5.1 Investor Data Disclaimer

CapitalxAI aggregates data from public sources, licensed data providers, and proprietary AI analysis.

We do not guarantee:

  • Accuracy, completeness, or timeliness of investor data
  • That any investor will respond, invest, or engage
  • That insights will lead to fundraising success

All data is provided "as-is" and for informational purposes only.

5.2 No Investment Advice

CapitalxAI does not provide:

  • Financial advice
  • Legal advice
  • Investment recommendations

You acknowledge that any fundraising decisions are made entirely at your own discretion and risk.

6. Acceptable Use Policy

You agree not to:

  • Scrape, copy, resell, sublicense, or redistribute Platform data
  • Use data for spam, harassment, or unlawful cold outreach
  • Violate GDPR, DPDP Act, CCPA, CAN-SPAM, or similar regulations
  • Reverse engineer or attempt to extract Platform algorithms
  • Misrepresent yourself to investors or third parties

Violation may result in immediate suspension or termination.

7. Compliance With Outreach & Data Laws

You are solely responsible for ensuring that your use of investor contact data complies with:

  • GDPR (EU)
  • Digital Personal Data Protection Act, 2023 (India)
  • CCPA / CPRA (California)
  • CAN-SPAM Act (USA)
  • Any applicable local outreach or solicitation laws

CapitalxAI is not liable for misuse of data by users.

8. Fees, Subscriptions & Payments

  • Access to CapitalxAI may be offered via paid subscriptions or custom plans
  • Fees are billed in advance and are non-refundable, unless required by law
  • We reserve the right to modify pricing with prior notice

Failure to pay may result in suspension or termination of access.

9. Intellectual Property

All content, software, models, branding, databases, and platform architecture are the exclusive property of ResourcePlan Solution Private Limited.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for internal business purposes only.

10. Confidentiality

Any non-public information shared by CapitalxAI is confidential and must not be disclosed without prior written consent.

11. Termination

We may suspend or terminate your access if:

  • You violate these Terms
  • You misuse investor data
  • You fail to comply with applicable laws
  • Required by legal or regulatory authorities

Upon termination, your right to use the Platform ceases immediately.

12. Limitation of Liability

To the maximum extent permitted by law:

  • CapitalxAI shall not be liable for indirect, incidental, or consequential damages
  • We are not liable for fundraising outcomes, investor decisions, or lost opportunities
  • Total liability shall not exceed the amount paid by you in the previous 12 months

13. Indemnification

You agree to indemnify and hold harmless ResourcePlan Solution Private Limited from any claims, damages, or penalties arising from:

  • Your misuse of the Platform
  • Violation of data protection or outreach laws
  • Misrepresentation to investors

14. Data Protection & Privacy

Your use of CapitalxAI is governed by our Privacy Policy, which explains how we collect, use, and protect personal data.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan.

16. Modifications

We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
